Welcome to MirApi Gateway, available at https://mirapi.io/ (the "Website"). These Terms of Service ("Terms") govern your access to and use of the MirApi Gateway platform, software, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

1. Description of Service

MirApi Gateway provides an API gateway solution designed for API traffic governance, orchestration, security, and real-time observability. The Service is provided as a subscription-based software-as-a-service (SaaS) model.

2. Account Registration, Security, and API Keys

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process.

You are solely responsible for safeguarding your account password, tokens, and API keys. You agree not to disclose them to any third party. You bear full responsibility for all activities, data transmissions, and charges incurred under your account or through the use of your API keys, whether authorized by you or not.

3. Fees, Payments, and Billing

  • Subscription Model: The Service is billed on a monthly subscription basis.
  • Billing Cycle: Your billing cycle begins on the date you subscribe and automatically renews every month unless canceled.
  • Payment Processing: All payments are securely processed through our integrated third-party payment providers. You agree to provide valid payment information and authorize us to charge all applicable fees to that payment method.

4. Delivery Policy

MirApi Gateway is a fully digital, cloud-based software service. No physical delivery is required. Upon successful payment and completed registration, access to the Service, personal dashboard, and API gateway configurations is delivered automatically in real-time.

5. Fees, Free Tier, and Refund Policy

  • Free Tier: MirApi Gateway provides a Free Tier to allow users to fully test, evaluate, and integrate the Service prior to making any financial commitment.
  • No Refunds: Because a Free Tier is available for evaluation purposes, all payments for premium (paid) subscription plans are final and strictly non-refundable. We do not offer refunds or credits for any partial subscription periods, unused capacity, or downgrades.
  • Cancellation: You may cancel your paid subscription at any time via your account dashboard. Upon cancellation, you will retain access to the paid features until the end of your current paid billing cycle. After the billing cycle ends, your account will automatically downgrade to the Free Tier.
  • Fair Use & Abuse: We reserve the right to immediately suspend, throttle, or terminate any account (including Free Tier accounts) that, in our sole discretion, abuses system resources, generates excessive or malicious API traffic, or otherwise negatively impacts the performance or stability of the Service for other users.

6. Intellectual Property

All rights, title, and interest in and to the Service, including the website design, software, platform architecture, code, documentation, and trademarks (including "MirApi Gateway"), remain the exclusive property of MirApi Gateway and its licensors. Your use of the Service does not grant you any ownership rights.

7. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied. MirApi Gateway does not warrant that the Service will be uninterrupted, timely, secure, error-free, or that any defects will be corrected. You use the Service at your own risk and operational discretion.

8. Limitation of Liability

To the maximum extent permitted by applicable law, MirApi Gateway shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, use, goodwill, or service interruptions resulting from your use or inability to use the Service.

In no event shall the total aggregate liability of MirApi Gateway for all claims arising out of or related to these Terms or the use of the Service exceed the total amount actually paid by you to MirApi Gateway for the Service during the twelve (12) months immediately preceding the event giving rise to liability (or $100 USD if you are using the Free Tier).

9. Governing Law and Merchant Information

These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of Ukraine.
